1. Scope

These Terms of Service ("Terms") govern all contracts concluded via the online shop zentanode.com ("Shop") between Zentachain GmbH, registered in Berlin, Germany (Commercial Register HRB 242677 B, Amtsgericht Charlottenburg, VAT ID: DE363535928) — hereinafter referred to as "Seller" — and the customer — hereinafter referred to as "Buyer".

These Terms apply in the version in force at the time the order is placed. Deviating terms of the Buyer shall not be recognised unless the Seller has expressly agreed to them in writing.

The contract language is English. The contract text is not stored after the conclusion of the contract and is no longer accessible. However, the Buyer will receive the contract text by email (order confirmation).

These terms apply to both consumer (B2C) and business (B2B) purchases. Business customers ordering on behalf of a company must provide valid company details including company name and VAT identification number (USt-IdNr.). Please note: The statutory right of withdrawal (Section 3) applies only to consumers as defined by §13 BGB. Business customers as defined by §14 BGB are excluded from the right of withdrawal.

2. Contract Formation

The presentation of products in the Shop does not constitute a legally binding offer but rather an invitation to submit an offer (invitatio ad offerendum).

By clicking the "Buy now" or "Place order" button and completing the Stripe checkout process, the Buyer submits a binding purchase offer. The automatic order confirmation email merely acknowledges receipt of the order and does not constitute acceptance of the offer.

The contract is concluded when the Seller dispatches the ordered goods and sends a shipping confirmation by email, or when the Seller expressly accepts the offer.

The Seller reserves the right to refuse an order — for example, after a credit check, if the delivery address is outside the serviceable area, or if the product is out of stock. In such cases, any payment already collected will be refunded in full without undue delay.

3. Right of Withdrawal

The right of withdrawal does not apply to business customers (§14 BGB) purchasing for commercial purposes.

Withdrawal Policy

You have the right to withdraw from this contract within fourteen (14) days without giving any reason. The withdrawal period expires fourteen days after the day on which you, or a third party other than the carrier indicated by you, acquires physical possession of the goods.

To exercise your right of withdrawal, you must inform us — Zentachain GmbH, Berlin, Germany, Email: legal@zentachain.io — of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the model withdrawal form set out below, but it is not obligatory.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen (14) days from the day on which we are informed about your decision to withdraw from this contract.

We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

You shall send back the goods or hand them over to us without undue delay and in any event not later than fourteen (14) days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of fourteen days has expired.

You shall bear the direct cost of returning the goods.

You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

4. Prices and Payment

All prices displayed in the Shop are final prices quoted in Euros (EUR) and include the applicable statutory value-added tax (currently 19% MwSt. / VAT). There are no hidden fees. Any applicable shipping costs are displayed separately and clearly indicated before the order is submitted.

The current price for the Zentanode is EUR 5,000.00 including VAT.

Payment is processed exclusively through the payment service provider Stripe. The following payment methods are available: Visa, Mastercard, and SEPA Direct Debit. Additional payment methods may be offered through Stripe from time to time.

The purchase price is due immediately upon completion of the order. The charge is processed by Stripe directly after the order is received.

5. Shipping and Delivery

Shipping within the European Union is free of charge. Deliveries are made to EU member states and select international destinations. Please refer to our Shipping page for the full list of supported countries.

Estimated delivery times are as follows: 2 to 4 business days within Germany; 5 to 10 business days for other EU member states. These are estimates and not guaranteed delivery dates. Business days are Monday through Friday, excluding public holidays.

Delivery is made to the shipping address provided by the Buyer during checkout. The Buyer is responsible for ensuring that the delivery address is correct and complete.

For consumer purchases, the risk of accidental loss or accidental deterioration of the goods passes to the Buyer upon delivery (i.e. handover of the goods to the Buyer or to a person designated by the Buyer other than the carrier), in accordance with Section 447 BGB as modified by Section 475 (2) BGB.

Delivery delays caused by force majeure or other events beyond the Seller's control (e.g. natural disasters, pandemics, supplier shortages, strikes) shall not be attributable to the Seller. The Seller will inform the Buyer of any significant delays without undue delay.

6. Warranty

The statutory warranty rights apply. The warranty period for new goods is two (2) years from the date of delivery, in accordance with Section 438 (1) No. 3 of the German Civil Code (BGB).

In the event of a defect, the Seller shall, at its discretion, provide supplementary performance by repair or replacement delivery. If supplementary performance fails (i.e. after two unsuccessful attempts), the Buyer may, at its discretion, demand a reduction of the purchase price or withdraw from the contract.

Obvious defects must be reported without undue delay, but no later than two (2) weeks after receipt of the goods. Failure to report in time does not affect the statutory warranty rights of consumers.

The warranty does not cover defects caused by improper use, unauthorised modifications, external influences (e.g. water damage, electrical surges), or normal wear and tear.

7. Limitation of Liability

The Seller shall be fully liable for damages caused by intentional misconduct (Vorsatz) and gross negligence (grobe Fahrlässigkeit). In the case of slight negligence (leichte Fahrlässigkeit), the Seller shall only be liable for breaches of material contractual obligations (cardinal obligations). In such cases, liability is limited to the foreseeable, contract-typical damage.

The above limitations of liability do not apply to (a) injury to life, body, or health; (b) claims under the German Product Liability Act (Produkthaftungsgesetz); (c) fraudulent concealment of defects; or (d) assumption of a guarantee.

To the extent that the Seller's liability is excluded or limited, this shall also apply to the personal liability of its employees, representatives, and vicarious agents.

8. Data Protection

The Seller processes the Buyer's personal data in accordance with the applicable data protection laws, in particular the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG).

9. Final Provisions

Governing Law

These Terms and all contracts concluded through the Shop are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers within the EU, this choice of law applies only insofar as it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence (Article 6 (2) of the Rome I Regulation).

Jurisdiction

The exclusive place of jurisdiction for all disputes arising out of or in connection with the contractual relationship shall be Berlin, Germany, provided that the Buyer is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law. This does not affect the statutory jurisdiction rules applicable to consumers.

Online Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR) which is available at: https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

Severability

Should any provision of these Terms be or become invalid, void, or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision. The same applies to any gaps in these Terms.
